1. Acceptance of Terms

By accessing or using the VellumDrop website, application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

VellumDrop provides a cloud-based platform for architectural document management, rendering, AI-assisted tagging, optical character recognition (OCR), and collaboration. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice to you.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

4. User Content and Intellectual Property

Your Content: You retain all ownership rights in your architectural plans, blueprints, and data ("User Content"). By uploading User Content, you grant VellumDrop a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display your User Content strictly for the purpose of providing the Service to you (e.g., rendering documents, applying AI tags, facilitating sharing).

VellumDrop's Intellectual Property: The Service and its original content (excluding User Content), features, functionality, and proprietary rendering pipelines are and will remain the exclusive property of VellumDrop and its licensors. The Service is protected by copyright, trademark, and other laws.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload or distribute any content that is unlawful, defamatory, harassing, or infringes on the intellectual property rights of others.
• Attempt to interfere with or compromise the system integrity or security of the Service.
• Upload invalid data, viruses, worms, or other software agents through the Service.
• Bypass the measures we may use to prevent or restrict access to the Service.

6. Payment and Subscriptions

Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms as we may update them from time to time. VellumDrop may add new services for additional fees and charges, or amend fees and charges for existing services.

7. Limitation of Liability

In no event shall VellumDrop, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.

8. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws, without regard to its conflict of law provisions.
